DSV raises DKK 37.3 Billion through an underwritten Directed Share Issue and Private Placement

DSV - Global Transport and Logistics raises DKK 37.3 billion (equivalent to EUR 5 billion) through an underwritten directed share issue and private placement Moalem Weitemeyer, in collaboration with Freshfields Bruckhaus Deringer, advised DSV on its record offering of new shares in a directed issue and private placement executed through an accelerated book-building (ABB) process to raise gross proceeds of DKK 37.3 billion (approx. EUR 5 billion), making it the largest ever Nordic capital raise and the largest global primary ABB since 2015. As part of the private placement, DSV has received cornerstone commitments from BlackRock, Canada Pension Plan (CPP), Capital Group, ATP, and additional leading international and domestic investors in an aggregate amount of DKK 21 billion. The net proceeds of the private placement will be used partially to finance DSV’s transformative acquisition of DB Schenker, which is expected to close in Q2 of 2025, after both the Supervisory Board of Deutsche Bahn and the German Federal Ministry of Digital and Transport (Bundesministerium für Digitales und Verkehr) approved the sale of DB Schenker to DSV - Global Transport and Logistics on 2 October 2024.
