Improved Freedom of Establishment through Harmonisation of the Rules on Cross-Border Mergers, Conversions and Demergers

Den 27. november 2019 vedtog Europa-Parlamentet og Rådet en ændring af direktivet om grænseoverskridende fusioner, således at dette fremover også finder anvendelse på grænseoverskridende omdannelser og spaltninger af selskaber(1) (i Danmark aktieselskaber, anpartsselskaber og partnerselskaber)(2). Desuden indføres visse forenklinger, for så vidt angår grænseoverskridende fusioner. Hensigten med ændringen er at harmonisere, smidiggøre og afbalancere reglerne. Medlemsstaterne skal implementere direktivet senest den 31. januar 2023. I det følgende gennemgår vi direktivets væsentlige aspekter og betydning.
